By creating an account, logging in, or otherwise using any of our Services, you acknowledge that you have read, understood, and accepted these Terms. Access to these Terms and our Privacy Policy is available within our Services (e.g., in the App's "Settings" menu under "About Us" or on the Site's footer).

To access and use most features of our App, you must sign in using your Google or Apple account. By signing in, you authorize us to access limited account information (such as your name and email address) from the selected provider for the purpose of creating and maintaining your App account. You are responsible for maintaining the security of your linked Google or Apple account and for all activities that occur under your App account. We recommend that you enable multi-factor authentication (if available) and ensure your device remains secure. If we detect or suspect unauthorized use of your account, we may temporarily suspend or restrict access to protect you and our Services. Your use of Google or Apple sign-in is also subject to the respective terms and privacy policies of those providers. We are not responsible for the acts or omissions of Google or Apple, or for any issues arising from your use of their authentication services.

Our Services are generally for personal and legitimate use, letting you interact with and manage content as provided by the specific Service, including Artificial Intelligence (AI) features like transcription and summarization tools, which usually need an internet connection. While we try our best for accuracy, AI-generated content might not always be perfect, so you should always use your own judgment when relying on it. Depending on the Service, you might also have options to import or export data.

You keep all rights to the content you create, upload, or submit to our Services ("User Content"). We don't claim ownership of any content you submit, post, or display through our Services. To operate, improve, and provide the Services to you (e.g., displaying your content across your devices), you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, distribute, and display your User Content. You're solely responsible for your User Content and its consequences. You agree not to upload content that's illegal, harmful, threatening, abusive, harassing, defamatory, obscene, sexually explicit, discriminatory, or promote violence, self-harm, or illegal activities. This includes content submitted to any features, including AI, and you agree not to try to bypass any safety filters. You're also responsible for any content imported from third-party platforms, confirming you have the necessary rights, and we don't take responsibility for copyright violations. Any content you export from our Services is for your personal use, and you're responsible for handling it according to applicable privacy and data protection laws.

Certain advanced features ("Premium") are available through auto-renewable subscription plans, offered on a weekly, monthly, or yearly basis. Each subscription provides access to specific Premium features and a defined quota of AI usage or generation capacity ("Quota"). Depending on your usage needs, you may purchase additional Quota packages at any time during an active subscription period. These additional Quota packages remain valid until the end of your current subscription cycle. All subscriptions and in-app purchases are processed securely through the Apple App Store or Google Play Store using their respective billing systems. We use RevenueCat as an authorized service provider to facilitate subscription management. We do not collect or store your payment information directly. Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period. You can manage or cancel your subscription at any time in your App Store or Google Play account settings. If you start a free trial, you will be automatically charged the applicable subscription price when the trial ends, unless you cancel before the trial period concludes. Any unused portion of a free trial will be forfeited when you purchase a subscription. We generally do not offer refunds for Premium features or Quota purchases. Refund eligibility is subject to the policies of the relevant app store (Apple or Google), and any refund requests should be directed to the respective store's support channels.

You agree not to engage in any of the following prohibited activities: using our Services for any illegal or unauthorized purpose; interfering with or disrupting the integrity or performance of our Services or their data; attempting to gain unauthorized access to our Services or their related systems or networks; reverse engineering, decompiling, or disassembling any part of our Services; submitting inappropriate or offensive content to any features, including AI; using our Services to generate, request, or engage with content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, sexually explicit, discriminatory, or promotes violence, self-harm, or illegal activities; attempting to bypass any safety filters or content restrictions implemented for AI features; engaging in spamming, phishing, or any other form of malicious activity; or violating any applicable local, state, national, or international law or regulation.

Our Services, including their design, structure, layout, and original content (excluding User Content), are owned by ApexOn and protected under applicable copyright, trademark, and other intellectual property laws. Although note-taking, transcription, and summarization features may be common across similar applications, the specific design, presentation, and implementation within the App are proprietary to ApexOn. You may not copy, modify, distribute, sell, or lease any part of our Services or included content without our prior written permission.

Our Services are provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, regarding the operation or availability of our Services, or that they will be uninterrupted, error-free, secure, or free of viruses or other harmful components. You acknowledge and agree that AI outputs are based on complex algorithms and data patterns and may contain inaccuracies, biases, or errors; any reliance on AI-generated content is at your sole risk. We are not responsible for any decisions made or actions taken based on the information or suggestions from our AI features.

To the maximum extent permitted by applicable law, in no event shall ApexOn or its suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses. These damages might result from (i) your access to or use of, or inability to access or use our Services; (ii) any conduct or content of any third party on our Services; (iii) any content you get from our Services; and (iv) unauthorized access, use, or alteration of your transmissions or content. This applies whether based on warranty, contract, tort (including negligence), or any other legal theory, regardless of whether we've been told about the possibility of such damage.

We can terminate or suspend your account and restrict access to our Services immediately, without prior notice or liability, for any reason whatsoever, including if you breach these Terms. You can delete your account at any time as described in our Privacy Policy. Once terminated, your right to use the Services will immediately end.

Our Services are not intended for children under 13. You must be at least 13 years old (or the minimum legal age in your country) to use our Services. If you are under the age of 18, you may use our Services only with the involvement and consent of a parent or guardian. You're responsible for ensuring that your use of our Services complies with all local laws and regulations applicable to you, and we do not represent that our Services are appropriate or available in your country or jurisdiction. We reserve the right to modify, suspend, or discontinue any feature or service offered through our Services at any time without prior notice, and we're not liable to you or any third party for such changes. You agree to indemnify and hold harmless ApexOn, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of your use of our Services or violation of these Terms.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide reasonable notice of any new terms. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you don't agree to the new terms, you're no longer authorized to use our Services.
